1. ELIGIBILITY:
The Cultivate Flyaway Sweepstakes (the "Sweepstakes") is open only to legal residents of the forty seven (47) United States (including the District of Columbia) excluding Alaska, Hawaii and Rhode Island, who are at least eighteen (18) years old at the time of entry. Employees of CMG Strategy Co., LLC (“Sponsor”), and Vibes Media LLC (“Administrator”), and their respective parent and affiliate companies, suppliers as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void in Alaska, Hawaii, Rhode Island and wherever else prohibited by law. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. TIMING:
The Sweepstakes begins on February 9, 2015 at 12:00 a.m. Eastern Time ("ET") and ends on March 1, 2015 at 11:59 p.m. ET (the "Promotion Period"). Administrator's computer is the official time keeping device for this Sweepstakes.
4. HOW TO ENTER:
- Text Message: During the Promotion Period, using a two-way text-messaging capable device ("Device"), text one of the following keywords: IZZE, IZZE1, IZZE2, IZZE3, IZZE4, IZZE5, or IZZE6 to short code 888222. Your text message constitutes one (1) Sweepstakes entry. If you enter via text-messaging, you will receive a message confirming your entry into the Sweepstakes. You will receive an additional message at the end of the Promotion Period with an offer for a free IZZE beverage to be redeemed in-store. You will be invited to opt-in to receive alerts from Sponsor by providing your zip code and mobile number. All entrants must provide a valid mobile number and zip code to sign up for alerts. Available on most U.S. mobile carriers. You will receive four (4) text messages per month from an automated system with coupons and offers.Void where prohibited. Entrants will be given the opportunity to “opt out” (or unsubscribe) each time they receive an alert message by sending “STOP” to short code 888222. Unsubscribing from alert messages will not eliminate an otherwise valid entry into the Sweepstakes. Message and data rates may apply. Text “HELP” for information to888222. - Mail-in Alternate Method: To enter without using a mobile device, hand print your name, address, day and evening phone numbers, email address (if any), and date of birth on a 3" x 5" piece of paper and mail it in an envelope with proper postage to “Cultivate Flyaway Sweepstakes,” Attn: Kesley Zahn c/o Vibes Media, LLC 300 W. Adams, 7th Floor, Chicago, IL 60606. Residents of Vermont may omit postage. You will receive one (1) entry into the Sweepstakes. Limit: One (1) entry per envelope and per Promotion Period. All mail-in entries must be handwritten and must be postmarked by March 2, 2015 and received by March 9, 2015. All entries become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, incorrect, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified.
Limit: There is a limit of one (1) entry per person by any method of entry during the Promotion Period. Multiple entrants are not permitted to share the same email address or Device. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, Devices, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant will be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, incorrect, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or entry, the authorized account holder of the email address or the text-messaging capable device used to register will be deemed to be the entrant. The "authorized account holder" of an email address, is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Otherwise, the "authorized account holder" of a Device is the natural person in whose name the Device has been issued and the services are billed. Potential winners may be required to show proof of being the authorized account holder. If more than one person is shown as a responsible party, then the first-named person will be deemed the Authorized Account Holder unless the individuals on the account otherwise agree. Administrator’s determination of the winner in case of a dispute will be final and binding.
5. WINNER DETERMINATION AND VERIFICATION:
Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of potential winners is final and binding in all matters related to the Sweepstakes. Receiving a prize is contingent upon compliance with these Official Rules. Administrator will randomly select the potential Sweepstakes winners, from all eligible entries received, on or about March 10, 2015. The potential winners will be notified by text message, mail or email depending on the method of entry after random drawing has been conducted. Any potential winner who entered via text-messaging will be notified by phone and/or text message at the number of the Device used to enter the Sweepstakes.
The potential Grand Prize Winner (parent/legal guardian if winner is a minor in his/her state of residence) (residents of Alabama and Nebraska must be 19 years of age or older and residents of Mississippi must be at least 21) must complete, execute and return an Affidavit of Compliance/ Eligibility/Liability/Travel Release, and where lawful, a Publicity Release along with an IRS Form W9 (collectively, the "Release Forms") within five (5) days of notification of winning the Grand Prize. Failure to return Release Forms timely, or if Prize notification is returned as non-deliverable, or if Winner is found not to be eligible or not in compliance with these Official Rules, the potential Grand Prize Winner will be disqualified, the Grand Prize will be forfeited and an alternate Grand Prize Winner will be selected in accordance with these Official Rules. Upon forfeiture, no compensation will be given. Grand Prize Winner's travel companion must complete, execute and return a Travel Companion Liability Release, and where lawful, a Travel Companion Publicity Release (collectively, the "Travel Companion Release Forms") prior to issuance of travel documents. Failure to return Travel Companion Release Forms at the same time as the Potential Prize Winner’s Release Forms may prevent your travel companion from participating in the trip. If guest of the Winner is a minor, guest must be accompanied by a parent or legal guardian (who must be the Winner and such parent or legal guardian will be required to execute and return such release prior to ticketing).
The potential First Prize Winner (parent/legal guardian if winner is a minor in his/her state of residence) (residents of Alabama and Nebraska must be 19 years of age or older and residents of Mississippi must be at least 21) must complete and execute an Affidavit of Compliance/Eligibility/Liability Release, and where lawful, a Publicity Release along with an IRS Form W9 (collectively, the "Release Forms") within five (5) days of notification of winning the First Prize. Failure to return Release Forms timely, or if Prize notification is returned as non-deliverable, or if Winner is found not to be eligible or not in compliance with these Official Rules, the potential First Prize Winner will be disqualified, the First Prize will be forfeited and an alternate First Prize Winner will be selected in accordance with these Official Rules. Upon forfeiture, no compensation will be given. The Grand Prize Winner and First Prize Winner are required to furnish their social security numbers that will be used only for the purpose of reporting the Winner’s prize earnings to the Internal Revenue Service, as required by law. All federal, state, or other tax liabilities arising from acceptance of the Grand Prize and First Prize in this Sweepstakes are the sole responsibility of the Grand Prize Winner and First Prize Winner.
In the event that a potential Grand or First Prize winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. First Prizes will be fulfilled 8-10 weeks after the conclusion of the Sweepstakes.
6. PRIZES:
ONE (1) GRAND PRIZE: Grand Prize will consist of a trip for Winner and guest to their choice of one (1) of the following three Cultivate Festivals: 1) April 18, 2015 in Phoenix, AZ, 2) July 18, 2015 in Kansas City, MO 3) August 22, 2015 in Minneapolis, MN. Prize includes round-trip coach air transportation from major U.S. gateway airport closest to Winner’s residence; Three-day, two night hotel accommodations (1 room, double occupancy); Uber transportation credit of $250; and $1,500 Visa® Gift Card. Approximate Retail Value (“ARV”) of Grand Prize package: $3,750. It is free to sign up for an Uber transportation account at: https://get.uber.com/sign-up/. Upon redemption of a Visa Gift Card, Grand Prize Winner agrees that the laws of the State of California, without regard to principles of conflict of laws, will govern the Gift Card. The winner shall bear all risk of loss or damage to their Prize package, as noted above, after it has been delivered. Actual value of trip may vary based on point of departure and dates of travel. Certain blackout dates and other travel restrictions may apply. If a winner resides within a 150 mile radius of chosen Cultivate Festival city, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Grand Prize Winner and guest will be required to travel together on the same itinerary and are responsible for obtaining all required travel documents. Winner and guest must be available to travel on dates specified by Sponsor’s Travel Entity. Travel arrangements must be made through the relevant Travel Entity. The relevant Travel Entity will determine the airline and flight itinerary in its sole discretion. Any changes made to trip itinerary after the trip is booked will be at the expense of the winner. No refund or compensation will be made in the event of any expenses incurred by winner (such as hotel accommodations, meals, ground transportation) as a result of the cancellation or delay of any flight except at the sole discretion of the Sponsor. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Travel Entity’s airline carrier of choice as detailed in the passenger ticket contract. The Winner and his/her travel companion are responsible for providing government issued photo identification in order to travel by air as well as travel insurance (and all other forms of insurance) that they may wish to obtain (at their own expense) and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Should the event portion of Grand Prize be canceled, postponed or in any way abbreviated, the Sponsor shall have no liability or further obligation to the Winner other than to supply the trip as described, minus the event tickets. Event tickets are subject to certain terms and conditions as specified by the Sponsor. Sponsor, and/or any other relevant party, reserves the right to remove or to deny entry to any Winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy abuse, threaten or harass any other person at the event or at the hotel. The terms and conditions of the tickets awarded as prizes will govern if the Cultivate Festival is canceled due to weather, an act of God, threat or act of terrorism, civil disturbance or any other reason. Sponsor makes no representations of any kind concerning the appearance, safety, or performance of any part of the Prize. Prize will be accepted “as is” and cash cannot be substituted for any ticket prize unless otherwise agreed by the Sponsor. Unused event tickets cannot be refunded, exchanged for cash value or substitute tickets or applied towards tickets for any subsequent years. No responsibility is assumed by Sponsor for any cancelled, rescheduled, delayed or postponed event in whole or in part. Meals, ground transportation, gratuities and all other costs and expenses not specified herein, if any, are the responsibility of the Grand Prize Winner. All prize details are at the sole discretion of the Sponsor.
ONE (1) FIRST PRIZE: First prize will consist of fifty-two (52) Free Burrito Cards (up to a value of $10 each card) to be redeemed at any participating Chipotle Restaurant and three-hundred sixty five (365) bottles of IZZE. ARV of First Prize: $730. Unused Burrito Cards cannot be refunded or exchanged for cash value, in whole or in part. Terms and conditions of the Burrito Cards will apply.
TOTAL ARV OF ALL PRIZES: $5,000.00
Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize or component thereof for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the Promotion Period. Limit: One (1) prize per person.
7. RELEASE:
By receipt of any prize, winners agrees to release and hold harmless Sponsor, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, prize suppliers, advertising/promotion agencies and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt, use, nonuse or misuse of any prize.
8. PUBLICITY:
Except where prohibited by law, participation in the Sweepstakes constitutes each winner's consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further notice, payment or consideration.
9. GENERAL CONDITIONS:
Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing for any or all of the prizes offered herein from among all eligible entries received up to the date of discontinuance to the extent reasonably possible and practical in light of the termination. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.
10. LIMITATIONS OF LIABILITY:
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in cellular networks, phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
11. DISPUTE RESOLUTION:
You agree that any claim or dispute at law or equity that has arisen or may arise relating in any way to or arising out of the Sweepstakes, the Official Rules, or the Sponsor’s Mobile Terms and Conditions will be resolved in accordance with the provisions set forth in this Dispute Resolution section. Please read this section carefully. It affects your rights and will have a substantial impact on how claims you and we have against each other are resolved.
You agree that whenever you have a disagreement with the Sponsor arising out of, connected to, or in any way related to the Sweepstakes, the Official Rules, or the Sponsor’s Mobile Terms and Conditions, you will send a written notice to the Sponsor (“Demand”). You agree that the requirements of this Dispute Resolution section will apply even to disagreements that may have arisen before you accepted these Official Rules or the Sponsor’s Mobile Terms and Conditions. You must send the Demand to the following address (the “Notice Address”): Legal Department, CMG Strategy Co., LLC, 1401 Wynkoop Street, Suite 500, Denver, CO 80202. You agree that you will not take any legal action, including filing a lawsuit or demanding arbitration, until 10 business days after you send a Demand. If the disagreement stated in the Demand is not resolved to your satisfaction within 10 business days after it is received, and you intend on taking legal action, you agree that you will file a demand for arbitration with the American Arbitration Association (the “Arbitrator”). This arbitration provision limits the ability of you, Administrator, and Sponsor to litigate claims in court and you, Administrator and Sponsor each agree to waive your respective rights to a jury trial or a state or federal judge. You agree that you will not file any lawsuit against Administrator or Sponsor in any state or federal court. You agree that if you do sue in state or federal court, and Administrator or Sponsor brings a successful motion to compel arbitration, you must pay all fees and costs incurred by Administrator and Sponsor in court, including reasonable attorney’s fees. For any such filing of a demand for arbitration, you must effect proper service under the rules of the Arbitrator and notice to the Notice Address may not be sufficient. If, for any reason, the American Arbitration Association is unable to conduct the arbitration, you may file your case with any national arbitration company. The Arbitrator shall apply the AAA Consumer-Related Disputes Supplementary Procedure effective September 15, 2005 (as may be amended) and as modified by the agreement to arbitrate in this Dispute Resolution section. You agree that the Arbitrator will have sole and exclusive jurisdiction over any dispute you have with Administrator or Sponsor. The Federal Arbitration Act allows for the enforcement of arbitration agreements and governs the interpretation and enforcement of the agreement to arbitrate.
You agree that you will not file a class action or collective action against Administrator or Sponsor, and that you will not participate in a class action or collective action against them. You agree that you will not join your claims to those of any other person. Notwithstanding any other provision in the Official Rules, or the Sponsor’s Mobile Terms and Conditions, if this class action waiver is invalidated, then the agreement to arbitrate is null and void, as though it were never entered into, and any arbitration dispute at that time will be dismissed without prejudice and may be refiled in a court. Under no circumstances do you, Administrator, or Sponsor agree to class or collective procedures in arbitration or the joinder of claims in arbitration. Administrator and Sponsor agree that we will submit all disputes with you to arbitration before the Arbitrator.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, Administrator, and Sponsor in connection with the Sweepstakes, or any claim or dispute that has arisen or may arise between you, Administrator and Sponsor, shall be governed by, and construed in accordance with, the laws of the State of Colorado without giving effect to any choice of law or conflict of law rules.
12. PRIVACY POLICY:
Any personal information collected in conjunction with this Sweepstakes from entrants is subject to the Sponsor’s Privacy Policy posted at: https://www.chipotle.com/en-us/html/privacy.html
13. WINNERS’ LIST:
For a winners’ list, the names of the winners may be obtained after March 10, 2015 by sending a self-addressed stamped envelope to: Cultivate Flyaway Winners, ATTN: Kesley Zahn, Vibes Media, LLC 300 W. Adams, 7th Floor, Chicago, IL 60606. Requests for winners’ names must be received no later than April 30, 2015.
